IT Services Decoupling After Mergers, Acquisitions, and Ownership Transitions: A Framework for Secure Infrastructure Separation

Abstract:

This review examines the secure separation of information technology services following mergers, acquisitions, divestitures, and ownership transitions, with particular attention to complex, geographically distributed corporate environments. Its purpose is to establish a structured framework for achieving operational independence while preserving cybersecurity, service continuity, data integrity, regulatory compliance, and commercial control. The study adopts a structured narrative review, synthesising peer-reviewed literature, recognised frameworks, and applied lessons from a USD 1.5 million decoupling programme. The analysis addresses pre-separation discovery, dependency mapping, infrastructure baselining, governance, identity and access reconfiguration, network and cloud separation, application and data disentanglement, Transitional Service Agreements, vendor and licensing dependencies, migration execution, testing, cutover management, and performance evaluation. Findings indicate that successful decoupling depends less on physical asset movement than on disciplined management of interdependencies, trust boundaries, ownership rights, operational readiness, and residual commercial obligations. The review further demonstrates that measurable service autonomy requires rigorous governance, accountable stakeholders, controlled migration sequencing, post-cutover assurance, and evidence-based performance metrics encompassing cost, schedule, security, resilience, and business continuity. Emerging capabilities, including digital twins, artificial intelligence, automated orchestration, and real-time observability, may strengthen future separation programmes when governed appropriately. The study concludes that secure decoupling should be treated as an enterprise lifecycle capability rather than a one-off technical exercise. It recommends maintaining authoritative asset inventories, formalising separation playbooks, strengthening identity governance, defining time-bound TSA exit criteria, institutionalising lessons learned, and advancing empirical research on maturity, automation, residual dependency risk, and long-term operating independence. These recommendations are pertinent in emerging markets, where infrastructure constraints, regulatory variation, skills shortages, and vendor concentration intensify transition risk.
