Compensation for Damages Resulting from Breach of Contract Under Vietnamese Law

Compensation for damages resulting from breach of contract is a common legal remedy applied when one or more parties fail to fulfill their contractual obligations. In Vietnam, this remedy is governed primarily by two legal instruments: The 2015 Civil Code and the 2005 Commercial Law. However, the relevant provisions in these two instruments remain inconsistent in several respects. This article focuses on analyzing the provisions of the 2015 Civil Code and the 2005 Commercial Law regarding compensation for contractual breaches, identifying certain limitations, and proposing recommendations aimed at improving the legal framework in this area.
